Unless you are in a big hurry to get her in U.S. I think you should wait. You can take your chances on the old H4 visa but ideally the right thing to do is to get your new H1 and get her H4 visa transferred immediately. H4 visa must always be associated with your latest H1B visa.

I think you should wait for the new passport. This is just my understanding and I am not a lawyer.

My wife is on H4 and planning to come here in next month but as per the visa, i am located in CA with some company. Presently I moved to diff company in East coast(h1 transfer is in progress). But my wife is on old company visa which is stil valid till 2013. Will it be any problem at POA? 
Another question is, she applied for new passport with Spouse name entry and waiting for the new passport. Can she travel on old passport which is having Visa stamping? Will the passport be valid to travel? or needs to wait till get new passport?
